Levon Helm’s daughter is asking a court to restore her role running the Woodstock studio and concert venue bearing the late musician from The Band’s name. Amy Helm argues that the leadership change removing her was invalid, bringing a family legacy into a dispute over corporate voting control.

Her October 16 complaint challenges the authority of Brian Parillo, who took over management in May. Parillo disputes her account and says he will respond in court.

The property is The Barn: Helm’s former home, recording studio and the setting for his Midnight Ramble concerts. For fans, the dispute reaches a place they visit to hear music, rather than simply an inherited name or a collection of memorabilia.

Amy’s role was more than being his daughter

Amy helped her father launch the Midnight Ramble series in 2004 to raise money for his cancer treatment. She performed with him, and the shows grew into a gathering place for musicians and listeners drawn to the Woodstock venue.

WAMC’s earlier reporting described how those performances accompanied Helm’s return to singing after throat cancer affected his voice. Radio host Carmel Holt recalled the family atmosphere, while musicians described being welcomed onto the stage by Levon and Amy.

Amy became president of Levon Helm Studios in 2017, WAMC reported. Her connection to the venue therefore includes years of management and performance alongside the family relationship invoked by its name.

After Levon’s death in 2012, the business was run under the stewardship of Amy, his widow Sandra Helm, his former manager Barbara O’Brien and Parillo. That four-person structure is at the center of the current fight.

A 10% shareholder claimed voting control

Pitchfork reported that Amy and Sandra each own 40% of the company, while Parillo and O’Brien each own 10%. Parillo’s claimed majority came through assignments of voting power, rather than ownership of most of the shares.

That distinction is the key to Amy’s challenge. Owning a portion of the company and controlling the votes used to appoint management are related but separate questions.

Her complaint says the change occurred without a shareholder meeting or the written consent required to take the action outside one. She is asking the court to recognize that she remains president and that Parillo lacks the authority he claims.

Restoring her management role would not make her the sole owner. The requested relief concerns who can exercise company authority within a business with several shareholders.

The other side accuses her of harming the business

The new complaint follows an August federal lawsuit brought by the studio’s current management against Amy. That suit alleged financial misconduct, including the use of company money for personal expenses and costs associated with her touring career, according to WAMC’s review.

It also challenged her use of the Helm Family Midnight Ramble name, arguing that it infringed the company’s Midnight Ramble trademark. Amy denied the allegations and said the action was an attempt to intimidate her.

The competing cases concern both the venue and the business associated with the Midnight Ramble concert series.

Sandra has also rejected the suggestion that Parillo controlled her decisions. Pitchfork reported her explanation that she wanted to restructure the studio and restore its standing.

The audience is already feeling the rupture

Artists canceled appearances in solidarity with Amy after the management change, WAMC reported. Its October 19 account described a sparse calendar, with only one show listed and that performance not until April.

The practical stakes include who books performances, maintains relationships with artists and operates the room people travel to hear. A courtroom outcome on management could settle who has that authority; it would not by itself restore canceled shows.

Parillo told WAMC that he disagrees with Amy’s complaint and her portrayal of Sandra. He said he intends to continue the venue’s work and wants the family involved in its future.

“Levon built the barn to bring people together, and that’s still what it’s for,” he said.
